The Sarbanes-Oxley Act of 2002, adopted as a reaction to corporate scandals, has a significant impact on European companies. The reason is simple: Hundreds of European-headquartered companies are dually listed on two stock exchanges, one in Europe and the other in the United States. 470 non-US companies are listed on the New York Stock Exchange, with a combined market capitalization of $3.8 trillion, 30 per cent of the total value of capitalization of companies quoted on the exchange.

EU Data Protection Directive

What is personal data (according to EU)? Personal data can be any information relating to an identified or identifiable natural person (directly or indirectly): Name, telephone number, photos. Data specific to his physical, physiological, mental, economic, cultural or social identity. What is processing of personal data? Any operation performed upon personal data whether or not by automatic means

Data Controllers must adhere to the following rules: Data must be relevant and not excessive in relation to the purpose for which they are processed. Data must be accurate.

Data controllers are required to provide reasonable measures for data subjects to rectify erase or block incorrect data about them. The directive prohibits transfer of personal information to countries outside the EU, which lack adequate protection of privacy.

Sarbanes Oxley

Section 301. Public company audit committees: Each audit committee shall establish procedures for:

(A) The receipt, retention, and treatment of complaints received by the issuer regarding accounting, internal accounting controls, or auditing matters; and

(B) The confidential, anonymous submission by employees of the issuer of concerns regarding questionable accounting or auditing matters

The challenge

How a US company with offices throughout the EU can comply with the notice and choice principles of EU Data Protection laws while simultaneously complying with the whistle blower requirements under Sarbanes Oxley?

How can we have both:

1. A Sarbanes Oxley hotline reporting service for employees to use anonymously, and

2. A Data Protection control: Data subjects must learn, rectify, erase or block incorrect data about them.

The problems

On 14 June 2005 the French Data Protection Authority refused to authorize the use of anonymous whistleblower hotlines. The French Authority’s view was that such hotlines are “disproportionate to the objectives sought and the risks of slanderous denunciations and the stigmatization of employees who were the subjects of an ethics alert.”

In a similar decision a German labor court ruled that parts of an employee code of conduct inviting employees to report misconduct to a whistleblowers hotline breached German labor law.

Early indications from the UK Information Commissioners Office (ICO) are that they would decline to follow the French and German approach. In contrast to the French and German decisions, the ICO’s view is that the appropriate use of such helpline by organizations would not, in principle, raise data protection concerns.

However, where organizations misuse such anonymous hotlines for inappropriate information gathering purposes there may be data protection implications.

Recommendations

Companies that are publicly traded in the United States and also have operations in the European Union must be very careful with the whistleblower provisions of the U.S. Sarbanes-Oxley Act of 2002.

First of all, before implementing Sarbanes Oxley hotline reporting services, companies need to ask for permission from the local Data Protection Authority.

Complaints must be processed inside the European Union. Companies need to establish local investigation procedures. The suspected person would be given the opportunity to comment within two days. In the event that the investigation shows that the allegations were unfounded, the data must be deleted within two days of the case closure. If the allegations are determined to be well-founded, then the file would be kept for one to five years after the case was closed (depending on management level).

Can EU really protect employees from the whistleblower provisions?

No. If a U.S. public company lists on its website or intranet site that it has a telephone number or email address where anonymous complaints can be received, even if that site is not addressed to or publicized in EU, an employee in Europe may still go to the site and file an anonymous complaint.

‘Freedom Tower’ renamed ‘1 World Trade Center’

The 108-floor central component of the new World Trade Center in New York City has been officially renamed 1 World Trade Center, ending the Freedom Tower moniker it had sported since 2003.

Freedom Tower was envisioned as a symbol of America’s victory over terrorism. It is currently on track for completion in 2013, with 10 floors partially finished so far.

Port Authority Chairman Anthony Coscia commented on the change, “It’s the one that is easiest for people to identify with — and frankly, we’ve gotten a very interested and warm reception to it.”

Former Governor George Pataki, who revealed the Freedom Tower name nearly six years ago, was critical of the switch, saying “The Freedom Tower is not simply another piece of real estate and not just a name for marketing purposes.”

1 World Trade Center has been the building’s legal name and address for the past two years, with the public change precipitated by the ramp up of construction and the commencement of lease marketing.

Mayor Michael Bloomberg seemed ambivalent to the change, saying “I would like to see it stay the Freedom Tower, but it’s their building, and they don’t need me dumping on it. If they could rent the whole thing by changing the name, I guess they’re going to do that, and they probably, from a responsible point of view, should. From a patriotic point of view, is it going to make any difference?”

The change was approved following the signing of a two-decades-long lease by a Chinese real estate company, which plans to occupy floors 64 through 69. Other future tenants include the U.S. General Services Administration and the New York State Office of General Services.

Severe sandstorm strikes Beijing, China

A severe sandstorm has struck north-west China over the past few weeks, reaching Beijing on Saturday morning. The sandstorm, which covered homes, streets, and cars in dust, has left the sky a murky yellow. The air quality was rated as level five. Beijing’s Weather Bureau issued a warning for the sandstorm, and advised citizens to stay in their homes until it passes. As much as 1500 micrograms per cubic meter of dust were reported to be airborne.

Beijing has experienced unusually cold weather this year, with temperatures below freezing at night, even after the start of spring. The sandstorm is affecting more than 50 million people, and forecasters do not see signs of it stopping soon. The desertification of the western China and the Mongolian steppes has made the annual spring sandstorm become worse in the recent years, reaching countries such as South Korea and Japan. The sandstorm has turned the rain and snow yellow.

The storm also impacted Xinjiang, Inner Mongolia, Shanxi, Shaanxi, and Hebei for a total of 270 million people over an area of 1.8 million square kilometers. It is expected the storm will last until Monday.

The use of machine translation (MT) has become essential in these times, except obviously in literary translation where euphemisms, idioms and metaphors remain in the human translator s domain. If there is nothing that can replace human understanding, then there is nothing that can replace the machine in terms of productivity. In the translation industry, work volume is constantly increasing, but the number of professional translators remains stable. Productivity is now a crucial key factor. It not only caused the standardization of the whole translation process, but it also led to automation of translation itself.

Let s go through the main differences between computer-assisted translations (CAT) and MT. The first, CAT, consists of specialized tools dedicated to professional translators that make their work easier mainly by means of a database (TM). The second, MT, is essentially based on the use of the machine. Its existence dates back to the 50 s and its functionality has been continually improved since then. Who hasn t tried it on a professional or personal level? Online free tools like Systran, Google Translate, Babel Fish, Reverso, and Prompt are not tailored for professional purposes, but they do help to decipher a message in a foreign language or to understand its basic meaning. In any case, they cannot convey any linguistic subtleties: puns, idiomatic expressions, synonyms, etc. Aspects like style, fluency, writing quality are often left out.

However, companies specializing in machine translation look to broaden their target users to multinational firms and translation professionals such as agencies and freelancers. These professionals use programs and server software specially designed for business use, like Systran and its new hybrid machine translation engine or Translator Toolkit for Google Translate. These new tools, which are generally not free, are intended for professionals and are now able to provide an overall satisfactory translation quality.

Kannada actor-turned-politician M H Ambareesh made his debut in the Union Ministry as Minister of State for Information and Broadcasting.

Jay Prakash Narayan Yadav, an RJD leader and a protege of Railway Minister Lalu Prasad, who had to resign last year following allegations of influencing the police in a case of electoral malpractices against his brother, returned to the government, again as Minister of State for Water Resources.

Oscar Fernandes took over Ministry of Labour.

Oracle to acquire Siebel for USD 5.85bn

US-based Oracle Corporation announced earlier today that they are buying rival US-based Siebel Systems for $10.66 USD per share. Siebel shareholders have the option to receive the $10.66 per share in cash or in Oracle stock. This deal is valued at approximately $5.85 billion USD. Siebel Systems’ Board of Directors has already voted in favour of the acquisition. Founder Thomas Siebel has also given his support. A special meeting will soon be held for Siebel stockholders to vote on the acquisition. If all goes well the deal should close in the early part of next year.

After acquiring Siebel; Oracle, which specializes in database applications, will become the second largest software company. Oracle has offices in more than 145 countries, and employs over 50,000 people. This acquisition will make Oracle the largest customer relationship management (CRM) applications company in the world. CRM applications include accounting, inventory management and customer management software. “Siebel’s 4,000 applications customers and 3,400,000 CRM users strengthen our number one position in applications in North America and move us closer to the number one position in applications globally”, said Oracle CEO Larry Ellison.

“Today is a great day for Siebel Systems’ customers, partners, shareholders, and employees,” said Thomas M. Siebel, Chairman and Founder of Siebel Systems. Many analysts predicted the acquisition of Siebel after Oracle bought competitor PeopleSoft for $10 billion USD, last December.

Gay Talese wants to go to Iraq. “It so happens there is someone that’s working on such a thing right now for me,” the 75-year-old legendary journalist and author told David Shankbone. “Even if I was on Al-Jazeera with a gun to my head, I wouldn’t be pleading with those bastards! I’d say, ‘Go ahead. Make my day.'”

Few reporters will ever reach the stature of Talese. His 1966 profile of Frank Sinatra, Frank Sinatra Has a Cold, was not only cited by The Economist as the greatest profile of Sinatra ever written, but is considered the greatest of any celebrity profile ever written. In the 70th anniversary issue of Esquire in October 2003, the editors declared the piece the “Best Story Esquire Ever Published.”

Talese helped create and define a new style of literary reporting called New Journalism. Talese himself told National Public Radio he rejects this label (“The term new journalism became very fashionable on college campuses in the 1970s and some of its practitioners tended to be a little loose with the facts. And that’s where I wanted to part company.”)

He is not bothered by the Bancrofts selling The Wall Street Journal—”It’s not like we should lament the passing of some noble dynasty!”—to Rupert Murdoch, but he is bothered by how the press supported and sold the Iraq War to the American people. “The press in Washington got us into this war as much as the people that are controlling it,” said Talese. “They took information that was second-hand information, and they went along with it.” He wants to see the Washington press corp disbanded and sent around the country to get back in touch with the people it covers; that the press should not be so focused on–and in bed with–the federal government.

Augusten Burroughs once said that writers are experience junkies, and Talese fits the bill. Talese–who has been married to Nan Talese (she edited James Frey‘s Million Little Piece) for fifty years–can be found at baseball games in Cuba or the gay bars of Beijing, wanting to see humanity in all its experience.

‘Top Model’ winner CariDee English on her modeling career and her battle with psoriasis

Since winning the reality television series America’s Next Top Model in December 2006, CariDee English, a small-town girl from Fargo, North Dakota, was plucked from relative obscurity to be the new look for CoverGirl Cosmetics, the newest fresh face on the cover of Seventeen, and affiliated with the largest modeling agency in the world, Elite Model Management.

However, she feels her greatest accomplishment is being the spokeswoman for the National Psoriasis Foundation, in which she is a motivational speaker and gives encouragement to psoriasis sufferers. CariDee has even lobbied in Congress for the passage of a bill which would ask the National Institutes of Health, the Centers for Disease Control and Prevention, and the Institute of Medicine to increase spending on finding a cure for psoriasis. NASA prepares to launch mission to nearby asteroids

NASA is beginning the final preparations for next Wednesday’s launch of the Dawn probe, aboard a Delta II rocket. The Dawn probe, costing over US$250 million, will visit the dwarf planet Ceres and the asteroid Vesta. The launch was originally planned for mid-June, however due to a damaged crate, shipping delays, and a damaged solar panel, NASA chose to delay it until now. Last week the spacecraft was delivered to the launch pad, and engineers performed tests to ensure that it is ready for launch. Today, the payload fairings were installed, and the probe is ready for its launch next week onto its 5 billion kilometer (3.2 billion mile) mission.

As the Delta II launches, three stages of rockets will propel the probe towards its first target. With the help of ion thrusters, it will reach Mars in mid-2009. Using Mars’ gravity, the probe will speed up and proceed towards the first asteroid, Vesta, in late 2011. After orbiting for seven months, it will leave Vesta in mid-2012, and arrive at Ceres in 2015. After making scans of Ceres, it will enter an orbit around Ceres that will ensure that it does not impact the asteroid for half a century. This is required due to the United Nations’ “Outer Space Treaty”, which states that “harmful contamination” of these asteroids must be avoided.

The targets of this mission, Ceres and Vesta, couldn’t be less alike. Ceres (diameter 975 km, 600 miles) is larger than Vesta (578 km, 350 miles). This makes Ceres approximately the size of Texas. NASA believes Ceres could contain water beneath its outer crust because, like Earth, its inner layers are heavier than the outer layers, and Ceres’ outer layer is lighter than water. Vesta, on the other hand, is the size of Arizona, and has a surface of volcanic rock, which astronomers believe came from its hot inner layers. Vesta also has a large crater – almost 500 km (300 miles) across – on its southern pole. The collision that caused this likely blasted enough rock into space to fill a container 160 by 160 by 80 km (100 by 100 by 50 miles).

The probe will make several observations of these asteroids: it will compare the makeup, shape, size, and densities, analyze craters, and determine mass, gravity, rotation. To determine the makeup, the probe carries a mapping spectrometer, and tools to map emissions of neutrons and gamma rays. Using this information, NASA can compare the formation of these bodies to learn more about our solar system, for example, to test a theory which states that a number of stony meteorites may be debris from Vesta.

There’s one more piece of equipment aboard the probe: A small silicon chip containing the names of 350,000 people who submitted their names to the “Send Your Name to the Asteroid Belt” campaign. After next week’s launch, the spacecraft will deploy its solar panels and undergo two months of testing before it begins the cruise to Mars.
